Quotations

A quotation states the product, specification, quantity, price, currency, Incoterm, port and validity. It holds for the days it says, and is subject to the goods being available when you confirm. Prices in US dollars are not converted; prices in pesos for imported goods may change with the exchange rate after the validity date.

Incoterms and risk

We sell under Incoterms® 2020 as named in the contract — usually FOB Manila or CFR your port for exports, and ex-warehouse or delivered Metro Manila for imported stock. Risk passes as the named term says.

Payment

• Exports: an irrevocable letter of credit at sight, or a deposit by telegraphic transfer with the balance against a copy of the bill of lading, as the contract says.
• Local sales: cash or cheque on delivery, or on the credit terms agreed in writing for an accredited account. VAT is shown on every sales invoice.
• Bank charges outside the Philippines are for the buyer’s account.

Documents

We provide the documents the contract or credit lists. A document a buyer asks for after the contract is signed is provided at cost where we can obtain it.

Shortage, damage and quality claims

Note any shortage or visible damage on the delivery receipt or the carrier’s papers, and tell us in writing within seven days of receipt, with photographs. Quality claims need a report from an independent surveyor or an accredited laboratory, drawn from the lot in question. We settle valid claims by credit note, replacement or refund.

Governing law

Philippine law governs these terms. Disputes go first to good-faith talks, then to the courts of the City of Manila, unless the contract names arbitration.
